These User Terms of Service (“User Terms”) govern your access and use of our online place and platform (the “Services”). Please read them carefully. Even though you are signing into an existing workspace, these User Terms apply to you as a user of the Services.

First things first,

Navaties Solutions Private Limited hereinafter also known as NAVATIES, Navaties, Website, Platform, etc.,

NAVATIES website, Mobile Application, and its sub-campaigns, drives, programmes, events, activities, etc., (henceforth, referred to as NAVATIES) are run to support individuals, businesses, Startups, MSMEs, etc., in India and elsewhere in the world; to ensure they can engage with the people whom they trust and execute a transaction where it is necessary.

The Website acts as a match-making platform for the User(s) to negotiate and interact with other User(s) for entering into negotiations in respect thereof for sale or supply of goods or services. NAVATIES are not parties to any negotiations that take place between the User(s) of the Website and are further not parties to any agreement including an agreement for sale or supply of goods or services or otherwise, concluded between the User(s) of the website.

 We seek to support individuals with information of their interest, location, and other demographics, educate business owners and employees in various business engagement activities provide direction for business continuity that is affected due to COVID19 pandemic support in restructuring the business or improve their existing process, production and other elements of business help to identify new opportunities, businesses, vendors, products, markets and sell/buy to/from the new market using existing resources, manpower, assets, etc., help to explore international markets to sell/buy products, goods or services provide services, tools, offers, products, engagements, events, goods, methods, etc., by us directly or by use of partners, third party providers and others who could add value in the promotions of such activities

These offerings mentioned above may not be provided to all who provide their information as part of registrations, but an effort will be made to provide support in one or the other way as listed above. Also, all offerings listed may not be free for all, some will be provided free of cost and some will be charged which will be under the discretion of NAVATIES. You shall agree to pay wherever necessary in order to get those offerings for yourselves, or the business, company that you represent.

However, in order to suggest or provide its offerings, NAVATIES may require information to plan the kind of solutions to offer. Hence the information is collected from the person filling the questionnaire. Hence the below terms and conditions.

By clicking “I agree”, or by submitting your information on NAVATIES, you agree to the terms and conditions of this Agreement and the NAVATIES Privacy Policy (“collectively referred to as “Terms”). Please note that this Agreement is subject to change without prior notice (unless prior notice is required by law). By completing this online form, you agree to be legally bound by these terms, which shall take effect immediately on your first use of this website. If you do not agree to be legally bound by all the Terms and conditions set for in this page and this website and all the systems of NAVATIES, please do not access and/or use the website and/or complete the form. NAVATIES may change the terms at any time.

These User Terms are legally binding contract between You, Businesses and Us. As part of these User Terms, you agree to comply with the most recent version of our Acceptable Use Policy, which is incorporated by reference into these User Terms. If you access or use the Services, or continue accessing or using the Services after being notified of a change to the User Terms or the Acceptable Use Policy, you confirm that you have read, understand and agree to be bound by the User Terms and the Acceptable Use Policy. “We”, “our” and “us” currently refers to the applicable Navaties entity in the Contract (defined below).

What this means for You – and for Us

general users has separately agreed to our Dos and Don'ts that permitted the Users to create a profile in our platform and access information, connect with businesses , be part of ecosystem.

Ecosystem is a Group to create and configure workspace so that you and others could join (each invitee granted access to the Services, including you, is a “User”). The Contract contains our commitment to deliver the Services to the General Users & Business Users, who may then invite other Users or Businesses to join Navaties network. When an User (including you) submits content or information to the Services, such as messages or files, you acknowledge and agree to our Terms of Service and Dos and Don'ts.

Regulation Related To Ecosystem:

Ecosystem is for businesses to thrive.

So that they can virtually meet vendors, purchasers, suppliers and potential investors.

This platform allows Business owner to create a controlled environment within our network and module.

Ecosystem cannot be reversed engineered, cannot be used other than its sole purpose of making professional connections.

Admin or Owner of the Ecosystem will be having control over its general configuration and settings; he can add/remove members or delete inappropriate contents, or delegate’s roles within the ecosystem.

The relationship between You, Businesses and Us;

AS BETWEEN US AND BUSINESS, YOU AGREE THAT IT IS SOLELY THE BUSINESS’S RESPONSIBILITY TO DELIVER YOU THE SERVICE/ PRODUCT FOR MUTUALLY AGREED PRICE.

NAVATIES BEING A TECHNOLOGY DRIVEN PLATFORM DOESN'T TAKE PART IN BETWEEN ITS USER AND BUSINESS OWNERS TRANSACTION.

 

A few ground rules,

You must be over the legal age as per your local laws,

To the extent prohibited by applicable law, the Services are not intended for and should not be used by anyone under the age of 16. You represent that you are over the legal age and are the intended recipient of invitation to the Services. You may not access or use the Services for any purpose if either of the representations in the preceding sentence is not true. Without limiting the foregoing, you must be of legal working age.

 

While you’re here, you must follow the rules.

To help ensure a safe and productive work environment, all Authorised Users must comply with our Acceptable Use Policy and any applicable policies established by the Ecosystem owners. If you see inappropriate behaviour or content, please report it to your Primary Owner or Team Navaties.

 

What is Inappropriate in NAVATIES?

Any unsolicited message, gestures, comments, sexuality obscenity; would be tagging as inappropriate; users will be having full control over deciding what they don't want to see by flagging them ' inappropriate', meanwhile, Ecosystem owners are in control of directly taking down any posted content which is not at per with their ecosystem standard.

NAVATIES at its sole discretion can take down any contents which seem to be inappropriate for the platform that too may happen without your prior knowledge.

 

Limitation of liability

If we believe that there is a violation of the Contract, User Terms, the Acceptable Use Policy or any of our other policies that can simply be remedied by the Customer’s removal of certain Customer Data or taking other action, we will, in most cases, ask the Customer to take action rather than intervene. We may directly step in and take what we determine to be appropriate action (including disabling your account) if the Customer does not take appropriate action or we believe there is a credible risk of harm to us, the Services, Users or any third parties.

 

Content Creators;

Any user or Businesses can be content creators, at Navaties we take creativity very seriously, we encourage people to create more contents like videos, texts or graphics; but only on one condition, that it shall be appealing to the eyes of the viewers and must be appropriate.

 

Application of consumer law;

Navaties is a business networking tool intended for use by businesses and organisations and not for consumer purposes. To the maximum extent permitted by law, you hereby acknowledge and agree that consumer laws doesn't apply, nothing in these User Terms will restrict, exclude or modify any statutory warranties, guarantees, rights or remedies you have and our liability is limited (at our option) to the replacement, repair or resupply of the Services or the pro-rata refund to the Customer of pre-paid fees for your subscription covering the remainder of the term.

 

Survival

The sections titled “The relationship between You, the Businesses and Us”; “Limitation of liability” and “Survival” and all of the provisions under the general heading “General provisions” will survive any termination or expiry of the User Terms.

 

General provisions

Email and Navaties messages

Except as otherwise set forth herein, all notices under the User Terms will be by email, although we may instead choose to provide notice to Users through the Services (e.g. a Navaties bot notification). Notices to Navaties should be sent to feedback@Navaties.com, except for legal notices, which must be sent to legal@Navaties.com. A notice will be deemed to have been duly given (a) the day after it is sent, in the case of a notice sent by email; and (b) the same day, in the case of a notice sent through the Services. Notices under the Contract will be delivered solely to the Customer in accordance with the terms of that agreement.

 

Business user may;

a. Promote their products and services

b. Connect to prospects and engage with them

c. Make an offer of sale

d. Shipping/Logistics, Payments should be at their discretion.

e. After sales services

Trademark

"NAVATIES" and related icons and logos are registered trademarks or trademarks or service marks of NAVATIES in various jurisdictions and are protected under applicable copyright, trademark and other proprietary and intellectual property rights laws. The unauthorized adoption copying, modification, use or publication of these marks is strictly prohibited.

 

Copyright

All website Content including Website Information is copyrighted to Navaties excluding any third-party content and any links to any third-party websites being made available or contained on the website. User(s) may not use any trademark, service mark or logo of any independent third parties without prior written approval from such parties.

 

LINKS TO THIRD PARTY SITES

Links to third party sites are provided on website as a convenience to User(s). User(s) acknowledge and agree that Navaties does not have any control over the content of such websites and/ or any information, resources or materials provided therein.

NAVATIES may allow User(s) access to content, products or services offered by third parties through hyperlinks (in the form of word link, banners, channels or otherwise) to the websites offered by such third parties ("Third Party Websites"). NAVATIES advises its User(s) to read the terms and conditions of use and/or privacy policies applicable in respect of such Third Party Websites prior to using or accessing such Third Party Websites. Users acknowledge and agree that Navaties has no control over any content offered on Third Party Websites, does not monitor such Third Party Websites, and shall in no manner be deemed to be liable or responsible to any person for such Third Party Sites, or any content, products or services made available thereof.

 

PHARMACEUTICAL PRODUCT/SERVICE POLICIES

The website does not facilitate the purchase of pharmaceutical products, and only advertises and/or showcases the pharmaceutical products posted by Business Users(s). Business User(s) involved in the purchase and supply of pharmaceutical products hereby agree to abide by and be compliant of any applicable laws, rules, regulations, notifications or orders issued by the Government of India or any of its agencies from time to time in this regard including but not limited to Drugs and Cosmetics Act, 1940, Drugs and Cosmetics Rules, 1945 ("Drug Rules"), Drugs and Magic Remedies (Objectionable Advertisements) Act, 1954 ("Drug and Magic Remedies Act").

NAVATIES and none of its Directors, Employees, Agents, and Affiliates shall not be responsible for any information, content or material in respect of or related to any pharmaceutical product posted, provided or displayed by Business User(s) on the website. Accordingly, the User posting the content shall ensure that the content so posted does not violate any statue in the rules made thereunder including the Act(s) as referred above, so that no consequences of any nature could be attributed to Navaties in any manner whatsoever. NAVATIES Business Users(s) hereby undertake that they shall solely be responsible and shall bear all the liabilities in respect of selling prescription medicines and/or drugs mentioned in any of the Schedules of the Drug Rules without a prescription issued by a registered medical practitioner and in accordance with the conditions laid down in such rules. In the event of breach of such condition, Navaties shall not be liable and responsible in any manner whatsoever.

Business Users(s) undertake and agree to indemnify and hold harmless Navaties and/or any of its affiliates, directors, officers, employees or representatives from and against any and all losses, liabilities, damages, claims, costs and expenses (including attorney’s fees and expenses, any third party claims), which Navaties may incur or suffer as a result of or in connection with any illegal sales of drugs and/or medicines.

 

Modifications

As our business evolves, we may change these User Terms or the Acceptable Use Policy. If we make a material change to the User Terms or the Acceptable Use Policy, we will provide you with reasonable notice prior to the change taking effect either by emailing the email address associated with your account or by messaging you through the Services. You can review the most current version of the User Terms at any time by visiting this page, and by visiting the following for the most current versions of the other pages that are referenced in these User Terms: Acceptable Use Policy and Privacy Policy. Any material revisions to these User Terms will become effective on the date set forth in our notice and all other changes will become effective on the date we publish the change. If you use the Services after the effective date of any changes, that use will constitute your acceptance of the revised terms and conditions.

 

Waiver

No failure or delay by either party in exercising any right under the User Terms, including the Acceptable Use Policy, will constitute a waiver of that right. No waiver under the User Terms will be effective unless made in writing and signed by an authorised representative of the party being deemed to have granted the waiver.

 

Severability

The User Terms, including the Acceptable Use Policy, will be enforced to the fullest extent permitted under applicable law. If any provision of the User Terms is held by a court of competent jurisdiction to be contrary to law, the provision will be modified by the court and interpreted so as best to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions of the User Terms will remain in effect.

 

Assignment

You may not assign any of your rights or delegate your obligations under these User Terms, including the Acceptable Use Policy, whether by operation of law or otherwise, without the prior written consent of us (not to be unreasonably withheld). We may assign these User Terms in their entirety (including all terms and conditions incorporated herein by reference), without your consent, to a corporate affiliate or in connection with a merger, acquisition, corporate reorganisation or sale of all or substantially all of our assets.

 

Governing law, venue, fees

The User Terms, including the Acceptable Use Policy, and any disputes arising out of or related hereto, will be governed exclusively by the same applicable governing law of the Contract & laws of India.

 

Entire agreement

The User Terms, including any terms incorporated by reference into the User Terms, constitute the entire agreement between you and us and supersede all prior and contemporaneous agreements, proposals or representations, written or oral, concerning its subject matter. To the extent of any conflict or inconsistency between the provisions in these User Terms and any pages referenced in these User Terms, the terms of these User Terms will first prevail; provided, however, that if there is a conflict or inconsistency between the Contract and the User Terms, the terms of the Contract will first prevail, followed by the provisions in these User Terms, and then followed by the pages referenced in these User Terms (e.g. the Privacy Policy).
